The firm prepares independent valuation reports, typically based on an evaluation of each of the factors described in IRS Revenue Ruling 59-60 and supported by judicial decisions.  In conducting the investigation and analysis and in arriving at a valuation opinion, the rigors of the IRS approach are combined with the principals' knowledge and direct involvement in transactions in the private and public markets.  Valuation reports are requested for many purposes including:

    - Support of a merger or sale transaction

    - Shareholder buy/sell agreements

    - Estate planning

    - Pricing of an equity or debt financing

    - Litigation settlements

    - Gift tax returns

    - Stock appreciation rights

    - Support of a sale of assets or stockfrom a company in bankruptcy or witha negative net worth

    - Divorce settlements

    - Certain minority shareholder transactions

The scope of a valuation is flexible and dependent on the client's needs.
